Royal Schiphol Group Bids to Double Stake in Maastricht Aachen Airport
Royal Schiphol Group has launched a €4.2 million offer to acquire an additional 40% stake in Maastricht Aachen Airport, raising its shareholding to 80% to assume majority control over the Dutch regional air cargo gateway.
Royal Schiphol Group (RSG), the principal airport operator in the Netherlands, has submitted a formal proposal to double its equity shareholding in Maastricht Aachen Airport (MST) from 40% to 80%. The acquisition bid, valued at €4.2 million for the additional 40% stake, would see the group transition from a strategic minority partner into the majority owner of the southern Dutch cargo and passenger gateway.
Under the terms presented to the Province of Limburg, the regional authority would retain a 20% minority shareholding rather than exiting ownership entirely. The transaction is designed to give Royal Schiphol Group operational and strategic stewardship over the facility, integrating Maastricht Aachen more tightly into the broader Dutch civil aviation infrastructure alongside Amsterdam Airport Schiphol (AMS), Rotterdam The Hague Airport (RTM), and Lelystad Airport (LEY).
Commercial Terms and Proposed Ownership Structure
The €4.2 million purchase consideration exactly matches the investment amount Royal Schiphol Group committed when it first entered Maastricht Aachen Airport's shareholder register in 2022 and closed its 40% partnership in 2023. As a condition of the revised majority transaction, RSG has requested that the Province of Limburg unwind several historically established financial structures, simplifying the airport's operational governance.
In return, Royal Schiphol Group has stated its readiness to commit additional capital to fund modernization and infrastructure upgrades across the airfield. RSG Chief Financial Officer Robert Carsouw emphasized that the airport operator seeks to leverage its institutional resources to stabilize the regional hub's balance sheet, noting: "Maastricht Aachen Airport holds a distinct position within the Dutch airport system, particularly in the field of cargo. We believe in the potential of the airport and see opportunities to further strengthen that position. With our knowledge and experience as an airport operator, we can work together with Maastricht Aachen Airport and the Province of Limburg to build a strong, financially sound, and future-proof airport."
Specialized Cargo Logistics and Infrastructure Role
Unlike low-cost passenger-dominated secondary airports across western Europe, Maastricht Aachen Airport's commercial identity is firmly anchored in specialized, time-sensitive air cargo logistics. In 2025, the airport processed approximately 41,600 tonnes of air freight alongside 159,000 commercial passengers.
The facility has established dedicated handling infrastructure for temperature-sensitive cargo sectors, specializing in pharmaceutical transport and perishable goods. Its geographical location in southeastern Netherlands places it within close transit proximity to major European road logistics corridors and agricultural distribution networks, including the Royal FloraHolland flower auction in Aalsmeer. Within national policy discussions, airport stakeholders have increasingly promoted Maastricht Aachen as "Schiphol's seventh runway," offering a dedicated freight diversion conduit that relieves slot and environmental pressures at Amsterdam Schiphol.
Governance Conditions and Dutch Aviation Strategy
Welcoming the commercial overture, Provincial Executive Deputy Stephan Satijn indicated that majority ownership by the country's national airport manager reinforces the long-term viability of the regional facility: "By acquiring a majority stake, Royal Schiphol Group demonstrates itself to be a committed shareholder that envisions the successful future of Maastricht Aachen Airport and recognizes the importance of the airport for the region, as well as within the broader Dutch aviation system."
The proposed share purchase remains subject to formal parliamentary debate and ratification by the Provincial Council of Limburg (Provinciale Staten). If approved, the transaction will cement Royal Schiphol Group's oversight across the Netherlands' southern logistics corridor, aligning regional freight handling with national airport capacity limits and environmental sustainability objectives.
